1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Studio Ledger's website design and related services (the "Service"). By purchasing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Services

Studio Ledger provides done-for-you website design services built specifically for accounting firms, CPAs, bookkeepers, and tax professionals. Our services include:

• Website design customization based on a selected template
• Website copy setup and content organization
• Website hosting, SSL, and ongoing maintenance
• Technical support and small monthly content updates

3. Fees and Payment

Studio Ledger's pricing consists of a one-time setup fee ($197, or a discounted amount if a valid promotional code is applied) due at checkout, followed by ongoing website care billed either monthly ($65/month, beginning one month after checkout) or annually ($650/year, billed together with the setup fee at checkout for the first year). By completing checkout, you authorize Studio Ledger to charge the payment method provided for these fees, including future recurring charges until you cancel.

4. Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, your service will continue until the end of your current billing period. New customers are covered by a 30-day money-back guarantee, running from your site's launch date, regardless of whether you are on a monthly or annual plan. This is a single fixed 30-day window, not a recurring guarantee on every billing period and not a full-year window for annual plans — requests made after the 30-day window has closed are not eligible for a refund, even on annual plans, though you may still cancel at any time to prevent future renewal charges. Full details, including what is and isn't eligible for a refund, are set out in our Refund Policy, which is incorporated into these Terms by reference. The one-time setup fee is non-refundable once work on your website has begun, except where required by the 30-day guarantee.

5. Intellectual Property and Design Ownership

Studio Ledger's website templates, layout systems, visual design frameworks, and underlying code are the intellectual property of Studio Ledger and are protected by copyright and other applicable laws.

Upon payment of the applicable setup fee (including any amount reduced by a valid promotional or discount code), Client receives a limited, non-exclusive license to use their completed, customized website for their own business for as long as Client's account remains active or as otherwise agreed in writing. This license covers the specific website delivered to Client — it does not transfer ownership of Studio Ledger's underlying templates, design system, or code.

Client agrees not to copy, extract, reverse-engineer, or otherwise use the design, layout, visual style, or code of the website delivered by Studio Ledger as a reference, template, or basis for creating a substantially similar website through any other designer, platform, service, or tool (including AI-based website builders), whether for Client's own use or on behalf of a third party. Client also agrees not to resell, redistribute, or sublicense Studio Ledger's designs or templates.

This section survives cancellation or termination of Client's subscription and continues to apply after Client stops using the Service.

6. User Responsibilities

You are responsible for:

• Providing accurate information during setup
• Maintaining the security of your account
• Ensuring your content complies with applicable laws
• Using the Service in compliance with these Terms

7. Limitation of Liability

Studio Ledger shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law principles, and any disputes arising under these Terms will be resolved in the state or federal courts located in Georgia.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through our website. Continued use of the Service after changes constitutes acceptance of the new Terms.
